SELECTED TRANSACTIONS Corporate, M & A Advising Aloe Invest in its bid to acquire Energy 21 (one of the largest photovoltaic energy companies in the Czech Republic) from E21 Holding B.V. owned by Mid Europa Partners and DCEMF Mezzanine Holdings B.V. Advising the global key player in yeasts and fermentation Lesaffre SA on the acquisition of 100% shareholding in Kontinua – zlepšující přípravky. Advising NAY, a.s. on demerger of EW NA, s.r.o. from Electro World s.r.o. as Czech subsidiary of NAY and subsequent a cross-border merger of EW NA, s.r.o. as Czech company into NAY a.s. as Slovak company. It was a follow-up corporate restructuring merger after an acquisition of Electro World companies in the Czech Republic and Slovakia by Nay. Advising the leading international insurance organization AIG Europe Limited on a buy-side warranty and indemnity insurance policy for PKP Cargo S.A., on its acquisition of an 80% stake in Advanced World Transport B.V. from Zdeněk Bakala; the Bakala Trust and Minezit SE. The transaction represented the largest deal in the sector in the Czech Republic in recent years.
