in connection with the sale of its Central and Eastern European businesses including the Czech brewery Plzeňský Prazdroj and the Slovak Pivovary Topvar brewery to the Japanese Asahi Group holdings. The transaction, worth EUR 7.3 billion, was one of the most significant M & A transaction in the Czech Republic in the past years. Providing full legal service to Philip Morris in relation to introduction of a new smoke free category of tobacco product (IQOS) on the markets in the Czech Republic and Slovakia. Global financing in the amount of EUR 665 million for the Monier Group, involving an issue of senior secured notes and senior secured credit facilities. Representing a consortium of leading private transport infrastructure developers, namely Cintra/ Ferrovial, Porr and Macquarie, in the biggest PPP project in Slovakia – the construction of the D4 and R7 highways. Legal advice to Veolia Energie ČR (a company from the Veolia Environnement group) in connection
with the acquisition of Pražská teplárenská LPZ a.s. (now Veolia Energie Praha), a subsidiary of Pražská teplárenská. We also represented this client in merger approval proceedings before the Czech Office for the Protection of Competition. One of the most significant transactions in the area of project financing in 2013-2014: project financing of the underground gas storage facility in Dambořice for the KKCG Group. Legal advice relating to the establishment of a debt issuance programme by a Slovak branch of UniCredit Bank Czech Republic and Slovakia. This was the first debt issuance programme with structured products to be established by a bank in Slovakia. The total value of the transaction is EUR 5 billion. Czech and Slovak law advice in connection with the worldwide internal restructuring of Hewlett-Packard involving certain business activities and companies in the Czech Republic and Slovakia. This transaction represented one of the largest de-mergers of a company worldwide. Assistance to Galerie Butovice s.r.o., belonging to Cromwell Property Group, a leading European multi-let real estate investment manager owned by Australian Cromwell Property Group, with respect to the construction and long-term lease of a new three-storey retail building in Prague to be fully let to Kika, a member of Steinhoff group, the second largest furniture retailer in the world. The first “triple” listing on the London, Prague and Warsaw stock exchanges, one of the largest European IPOs in 2008 and the largest ever IPO in the Czech Republic for New World Resources N.V. with the total value of the offering amounting to ₤ 1.1 billion and final market capitalisation of ₤ 3 billion. Assisted the Prague Stock Exchange in the establishment of a new non-regulated market/selling platform called START. Advising on the first IPO by an SME firm on the new START market/selling platform. Advised also on the first secondary public offering on the new START market. Legal advice to Holcim in connection with one of the top M & A transactions realised over the last few years not only in the Czech Republic, but also abroad, regarding the divestment of its Czech operations to Cemex, including a cement plant and 17 ready-mix concrete sites.
