execution of acquisition financing in an overall volume of EUR 2.288 billion for the purchase of its 65.9% share in Telefónica Czech Republic. In 2013, BBH acted as advisor to the issuer, EP Energy, part of the EPH group, in connection with its EUR 600 mil. Eurobond offering. In 2013, BBH also acted as legal advisor to ŠKODA TRANSPORTATION, as debtor, in the preparation, negotiation and implementation of financing arranged by ČSOB in a total volume of approx. CZK 1 billion. In 2014, BBH acted as advisor to the issuer, EC Energy, part of the EPH group, in connection with its EUR 500 mil. Eurobond offering. BBH acted as legal adviser to the arranger Raiffeisenbank a.s. in connection with the CPI Byty a.s. Czech bond program update and subsequent offering. The volume of the transaction was EUR 140 million. BBH has a uniquely strong and experienced regulatory services team lead by Mr. Tomáš Sedláček. Exhibiting the unique expertise of the team are, for example, Mr. Zdeněk Husták, member of the Czech National Bank Appeal Committee and member of the Advisory Committee of the European Banking Association (EBA), and Mr. Adam Nečas, previously the head of the licensing department at the Czech National Bank. In 2013 and 2014, BBH provided legal services in licensing, approval and sanction proceedings before the Czech National Bank (CNB). Further, BBH provide comprehensive service and support in compliance issues, internal regulations, changes in regulatory capital, including Tier 1 and Tier 2 capital reserve requirements, issues of subordinated and structured debt, risk-weighted assets, etc. Among BBH’s interesting cases that may be mentioned is the representation of Czech Export Bank before the CNB in gaining the extension of banking licenses, the representation of the pension companies Generali and Česká pojišťovna before the CNB in their merger proceedings and the representation of the AnaCap funds in their proceedings before the CNB in connection with their acquisition of Equa bank. BBH also provides consultancy services to the Czech National Bank, the central bank of the Czech Republic.
Dispute Resolution and Arbitration BBH has years of experience and an unwavering presence on the Czech Litigation market.
