The following transactions are now in the public domain, and we can therefore highlight them as examples of our work. We provided advice, for example, on
the occasion of this year’s two largest foreign direct investment projects in the Czech Republic, to South Korea’s Nexen Tire Corporation in the structuring and negotiation of its investment agreement worth CZK 22 billion, for its investment in a tyre manufacturing plant, and to Hyundai Mobis on the structuring and negotiation of an investment agreement with the Government of the Czech Republic for its investment in the construction of an automotive headlight plant worth more than CZK 4 billion;
NET4GAS on its refinancing and a change of its capital structure, including international bonds and bank loans amounting to more than EUR 1.15 billion; to Allianz and Borealis infrastructure investment funds on their acquisition of NET4GAS for EUR 1.6 billion; to PRAGUE CAPITAL CITY, in connection with a review of Prague’s current anti-corruption strategy; to E.ON on the sale of Pražská plynárenská, a.s. to the Prague Capital City; to CPI Property Group (Czech Property Investments), on most of its acquisition, lease and development transactions (for example, the acquisition of a portfolio of office buildings, worth over CZK 5 billion, from PPF, etc.); To the MID EUROPA PARTNERS (“MEP”) private equity fund on the acquisition of the Alpha Medical group (which operates diagnostic laboratories) in the Czech Republic and Slovakia; this deal was the largest private equity transaction in the Czech Republic and Slovakia in 2012.
CSR For more than 20 years, we have been systematically investing considerable portions of our profit in projects that today are referred to as Corporate Social Responsibility. Examples include the Ethics in Legal Practice project, which we prepare together with our partner Pro Bono Aliance and which focuses on transparency in the Czech legal market. Our other CSR projects include Pro Bono Legal Services – provision of free legal advice to disadvantaged groups, and Time to Volunteer, where we grant our employs one (fully paid) business day per year for volunteering. We also organise three volunteering events per year together with the long-term partners of our programme, and under the Matched Giving project we donate the same amount as that given by our employees for certain projects.
