ČEZ on a number of cases or projects (in such as the alleged abuse of dominant position case in connection with coal purchases or in proceedings seeking approval for concentrations, e.g., acquisition of a 100% shareholding in Energotrans), the Fincentrum Group (representation before the Office for the Protection of Competition in relation to the acquisition of a controlling stake in Fincentrum by its shareholders and new private equity investors), AVE CZ in a large investigation by Czech Office for Protection of Competition of the alleged cartel in the waste disposal market and the market of the road cleaning, Czech Post (postal services issues), OMV Czech Republic in proceedings conducted by the Czech Office for Protection of Competition in connection with the alleged prohibited price-fixing concerted practices in the Czech fuel market and in the subsequent judicial review proceedings. Furthermore, WEIL advises on a regular basis Plzeňský Prazdroj and SABMiller on various competition law aspects of their activities in the Czech market.
Banking and Finance WEIL’s clients in the area include a number of Czech and international banks and financial institutions, as well as major corporate clients, governmental entities and public authorities to whom WEIL has provided or is providing legal advice in connection with their financial projects, including issues of debt securities in the Czech, European or U.S. capital markets; structured finance, mezzanine or syndicated loans. In 2014, for example, WEIL has provided legal advice to ČEZ on its offering of bonds exchangeable for a total of 7% of shares in MOL, a Hungarian oil and gas company, and on its invitation to holders of its outstanding Eurobonds to tender their bonds for purchase, one of the largest transactions in Czech capital markets in 2014. The largest project dealt with by a WEIL team for ČEZ addressed the issue of financing the planned construction of two new units for the Temelín nuclear power plant, including the possible construction of up to three other similar units at another potential location in
Europe, being the largest-ever project in the history of the Czech Republic. Weil also participated as counsel in the US offering of ČEZ’s bonds under Rule 144A; offerings of municipal Euro bonds and short-term promissory notes of the Capital City of Prague; offerings of both short and long-term promissory notes of Dopravní podnik hlavního města Prahy; request of ČEZ for change of conditions for offerings of Euro bonds listed on the Luxembourg Stock Exchange, or in connection with the ČEZ Eurobond offerings under its Eurobonds Program. Weil advised Česká spořitelna in proceedings before Czech courts and the Financial Arbitrator of the Czech Republic regarding actions of its clients claiming reimbursement of fees paid for the administration of consumer and mortgage loans; in addition, Weil has also provided legal services on matters such as the possible impact of Czech private law re-codification on Česká spořitelna’s banking activities due to enactment of the New Civil Code and the Act on Business Corporations. Other major clients of WEIL include, for example, the General Electric Capital Corporation global financial group (legal consultancy in connection with the preparation of the recovery plan required under the new U.S. Banking Regulations, as well as Weil’s advice in connection with the settlement of rights and obligations resulting from the acquisition of a part of the enterprise of Agrobanka, or advice in relation to the complex restructuring of the group’s business activities in the Czech Republic; Telefónica Czech Republic (in connection with the mandatory tender offer by its new majority owner); Stock Spirits Group (in connection with its syndicated revolving loan and a change of securing of these loans); Franklin Templeton Investment Funds (in connection with the public offering of shares of foreign mutual funds in the Czech Republic); and Silver Lake Partners (in connection with financing of the acquisition of the Global Blue group). WEIL lawyers have also participated in corporate restructuring and complex re-licencing of the Fincentrum group regulated activities, including assistance in proceedings before the Czech National Bank.
