BANKING AND FINANCE WEIL’s clients in this area include a number of Czech and international banks and financial institutions, as well as major corporate clients and public authorities, to whom WEIL provided or is providing legal advice in connection with their various financial projects, including issuances of debt securities in the Czech, European or U.S. capital markets; structured finance, mezzanine or syndicated loans. Major clients of WEIL include, for example, the global financial group of General Electric Capital Corporation (in connection with business activities of GE Capital in the Czech market, in connection with a preparation of the recovery plan required under the new U.S. banking regulations, as well as in connection with the settlement of rights and obligations resulting from the acquisition of a part of the enterprise of Agrobanka, or in relation to the complex restructuring of the group’s business activities in the Czech Republic); O2 Czech Republic (Telefónica Czech Republic) (in connection with a mandatory bid offer by its new majority owner); Franklin Templeton Investment Funds (in connection with the public offering of shares of foreign mutual funds in the Czech Republic); or the Fincentrum group. Weil advised Česká spořitelna in connection with judicial proceedings before Czech courts and the Financial Arbitrator of the Czech Republic regarding actions of its clients claiming reimbursement of fees paid for the administration of consumer and mortgage loans; in addition, Weil also provided legal services on matters such as the establishment of a joint venture for processing of card payments to merchants
in their payment terminals or possible impact of the Czech private law recodification (new Civil Code and new Act on Business Corporations) on Česká spořitelna’s banking activities. WEIL has also been regularly providing legal services to ČEZ on various capital market matters.
PUBLIC PROCUREMENT / PROJECTS WEIL has a long-standing experience in providing legal services in the field of public procurement to major Czech contracting authorities. Such consultancy includes, for example, advice to ČEZ in connection with the largest-ever public procurement in Czech history – completion of the Temelín nuclear power plant.
